On December 1, 2011, the Company filed with the Secretary of State of Delaware a Certificate of Amendment to its Certificate of Incorporation to (i) effect the reverse stock split of the Company’s common stock at a ratio of one-for-three hundred (1:300) and (ii) reduce the authorized shares of the Company’s capital stock to 38,333,333 shares
